1. Services

Stonegate Web Designs LLC ("Stonegate", "we", "us") provides web design, development, hosting, and digital marketing services to small businesses. By engaging our services you agree to these terms in full.

2. Monthly Subscription Plan

The monthly plan is $175/month with a 12-month minimum commitment. After the initial term the agreement continues month-to-month and may be cancelled with 30 days written notice. Early termination within the first 12 months is subject to a $3,500 early termination fee.

3. One-Time Project Plan

The one-time project plan is $3,500 payable before or at project launch. Hosting is billed separately at $25/month. Upon final payment the client receives full ownership of all website files and code.

4. Ownership

Under the monthly plan, Stonegate retains ownership of the website design and code. The client retains full ownership of all business content, photos, and information provided. Under the one-time plan, the client receives full ownership of all deliverables upon final payment.

5. Hosting

Website hosting is included in the monthly plan. Stonegate reserves the right to choose the hosting provider. Upon cancellation the client may request a static export of their site files within 30 days.

6. Client Responsibilities

The client is responsible for providing accurate business information, timely feedback during the design and revision process, and maintaining any third-party accounts that Stonegate may help set up on their behalf including Google Business Profile and social media accounts.

7. Satisfaction Guarantee

If Stonegate is unable to produce a design the client approves of after reasonable revision attempts, the contract will be cancelled at no charge. This guarantee applies to the initial design phase only and does not apply after the client has approved a design.

8. Payment

Monthly payments are due on the same date each month. Accounts more than 10 days past due may result in temporary suspension of services. Accounts more than 30 days past due may result in permanent termination and removal of the website.

9. Intellectual Property

All content provided by the client (text, images, logos) remains the property of the client. Stonegate retains the right to display completed work in its portfolio unless the client requests otherwise in writing.

10. Limitation of Liability

Stonegate's total liability is limited to the fees paid in the preceding 3 months. We are not liable for indirect, consequential, incidental, or punitive damages including lost profits or lost business opportunities.

11. Governing Law

These terms are governed by the laws of the State of New Jersey. Any disputes shall be resolved in the courts of Hudson County, New Jersey.

12. Changes to Terms

Stonegate reserves the right to update these terms at any time. Clients will be notified of material changes by email with 30 days notice.
